TRADEMARKS AND BRANDING

The Eileen’s Epic name, Black Latin History name, logos, slogans, graphics, visual identity, program names, series names, and other identifying brand elements may be trademarks or protected brand assets belonging to Eileen Ivette.

You may not use these names, marks, logos, designs, or other brand elements in a manner that is likely to cause confusion or falsely suggest that you, your content, your business, or your services are sponsored, approved, endorsed, or operated by Eileen’s Epic or Eileen Ivette.

Nothing on the Website grants you a license to use any trademark, service mark, logo, or other brand element without prior written permission.

REQUESTS TO USE CONTENT

Requests to reproduce, license, syndicate, publish, distribute, screen, teach, feature, or otherwise use Eileen’s Epic Content should be submitted to contact@eileenivette.com.

Permission is not granted unless it is provided expressly in writing.

If commenting or other public-interaction features are available, Eileen’s Epic reserves the right to review, moderate, edit, restrict, hide, or remove submissions at any time.

We are not required to publish or retain any comment or submission.

A purchaser may not share login credentials, distribute product files, reproduce materials for a group, resell a product, create derivative products, or use the materials to provide competing commercial services.

This includes damages connected to travel decisions, bookings, cancellations, delays, injuries, illness, property damage, lost luggage, denied entry, missed transportation, financial losses, lost profits, lost revenue, lost opportunities, loss of data, business interruption, reputational damage, unauthorized access, security incidents, Website errors, technical failures, or third-party conduct.

You acknowledge that travel carries inherent risks and that you are responsible for researching and evaluating the risks associated with your own plans, bookings, purchases, and activities.

Eileen’s Epic will not be responsible for the acts, omissions, representations, availability, safety, quality, or performance of any destination, government authority, airline, hotel, accommodation, restaurant, tour operator, transportation provider, affiliate merchant, sponsor, advertiser, platform, or other third party.

Where liability cannot legally be excluded, the total liability of Eileen’s Epic arising from or related to the Website will be limited to the amount you paid directly to Eileen’s Epic for the specific product or service giving rise to the claim during the six months preceding the event giving rise to liability.

If you have not paid Eileen’s Epic for a product or service, the total liability will be limited to $100.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations in this section apply only to the extent permitted by law.

ASSUMPTION OF RISK

You voluntarily assume all risks associated with accessing the Website, relying on its Content, following a recommendation, traveling to a destination, participating in an activity, purchasing a product, using a service, or engaging with a third party mentioned on the Website.

You are responsible for obtaining appropriate travel documents, insurance, vaccinations, medical advice, safety information, permissions, and professional guidance for your circumstances. You remain solely responsible for your decisions, conduct, purchases, bookings, travel plans, and results.

INDEMNIFICATION

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Eileen’s Epic, Eileen Ivette, and any contractors, contributors, representatives, service providers, successors, or collaborators associated with the Website from claims, liabilities, damages, judgments, losses, costs, and reasonable legal expenses arising from your violation of these Terms and Conditions.

This obligation also applies to claims arising from your misuse of the Website, unlawful conduct, infringement of another person’s rights, User Content you submit, or transactions and activities undertaken through your use of the Website.

Eileen’s Epic reserves the right to assume control of the defense of a matter subject to indemnification. You agree to cooperate reasonably with that defense.

TERMINATION AND RESTRICTION OF ACCESS

Eileen’s Epic reserves the right to restrict, suspend, block, or terminate your access to the Website or any portion of it at any time when reasonably necessary.

Access may be restricted because of a suspected violation of these Terms, unlawful activity, security concerns, infringement, harassment, misuse of Content, interference with Website operations, or other conduct that may harm Eileen’s Epic or another person.

Termination does not affect provisions that by their nature should continue after access ends, including provisions addressing intellectual property, disclaimers, liability, indemnification, governing law, and dispute resolution.

WEBSITE AVAILABILITY

Eileen’s Epic may modify, update, suspend, discontinue, remove, or restrict any portion of the Website or its Content at any time. We are not obligated to maintain any specific article, feature, download, product, service, link, or resource indefinitely. The Website may occasionally be unavailable because of maintenance, technical problems, hosting issues, security concerns, third-party failures, or circumstances outside our control. Eileen’s Epic is not liable for the modification, suspension, interruption, or discontinuation of the Website.

COPYRIGHT INFRINGEMENT

Eileen’s Epic respects the intellectual-property rights of others. GOVERNING LAW

These Terms and Conditions are governed by and interpreted under the laws of the State of New York, without regard to conflict-of-law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.

INFORMAL DISPUTE RESOLUTION

Before filing a legal claim arising from or related to the Website or these Terms and Conditions, you agree to contact Eileen’s Epic at contact@eileenivette.com and make a good-faith effort to resolve the dispute informally. Your written notice should describe the nature of the dispute, the relevant facts, and the resolution you are requesting. The parties will have 30 days from receipt of the notice to attempt to resolve the dispute before either party begins formal proceedings, unless immediate relief is necessary to prevent serious or irreparable harm.

JURISDICTION AND VENUE

Unless applicable law requires otherwise, any legal action arising from or related to the Website or these Terms and Conditions that is not resolved informally must be brought in a state or federal court located in New York County, New York. You consent to the personal jurisdiction and venue of those courts. Nothing in this section prevents Eileen’s Epic from seeking injunctive or equitable relief in an appropriate jurisdiction to protect intellectual-property rights, confidential information, Website security, or other legal rights.

WAIVER OF CLASS OR REPRESENTATIVE CLAIMS

To the extent permitted by applicable law, disputes arising from or related to these Terms and Conditions or the Website must be brought on an individual basis. You agree not to bring or participate in a claim against Eileen’s Epic as a plaintiff or member of a class, collective, consolidated, or representative action. If this waiver is found unenforceable under the law applicable to a particular claim, the waiver will not apply to that claim.

SEVERABILITY

If any provision of these Terms and Conditions is found to be unlawful, invalid, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable or, if modification is not possible, removed. The remaining provisions will continue in full force and effect.

NO WAIVER

A failure by Eileen’s Epic to enforce a provision of these Terms and Conditions does not waive the right to enforce that provision later. A waiver is valid only when provided expressly in writing.

ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms and Conditions without prior written permission from Eileen’s Epic. Eileen’s Epic may assign or transfer its rights and obligations in connection with a business reorganization, sale, transfer of assets, or other lawful transaction.

ENTIRE AGREEMENT

These Terms and Conditions, together with the Privacy Policy, Disclaimer, and any additional terms applicable to a particular product or service, constitute the entire agreement between you and Eileen’s Epic regarding your use of the Website. They replace prior or contemporaneous communications and understandings concerning the Website, whether oral, written, or electronic.

ELECTRONIC COMMUNICATIONS

When you visit the Website, submit a form, subscribe to a newsletter, make a purchase, or communicate with Eileen’s Epic electronically, you consent to receive communications electronically. Electronic communications may satisfy legal requirements that a communication or notice be provided in writing, to the extent permitted by law.
